Terms of Service

Welcome to RepoGo. By accessing or using our service, you agree to be bound by these Terms of Service. Please read them carefully. If you do not agree to these Terms, you must not access or use the Service.
1. Acceptance of Terms
By accessing and using RepoGo ("the Service," "we," "us," or "our"), you ("you," the "User") accept and agree to be bound by the terms and provisions of this agreement, as well as any other policies, guidelines, or additional terms referenced herein, including our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
The RepoGo application distributed through Apple's App Store is also licensed under Apple's Standard Licensed Application End User License Agreement. These Terms govern your use of the RepoGo service; Apple's Standard EULA governs the license to the iOS application and controls if there is a conflict concerning that license.
2. Description of Service
RepoGo is a mobile, desktop, and web-based development platform that allows Users to:
- Connect to and access GitHub repositories from mobile and other devices
- Work with repositories on a paired, User-controlled computer or in an isolated cloud development environment
- Invoke third-party command-line coding agents and AI tools in those connected environments
- Browse and edit source files, review changes, manage Git operations, and control development processes
- View output from terminals, builds, and development servers that execute in a connected environment
RepoGo acts primarily as a client and orchestration layer between your devices, source-control provider, connected development environments, and third-party AI services. Coding agents, shell commands, builds, and development servers execute on the connected computer or cloud environment. The iOS application displays project data and controls those remote processes.
Project code is not installed or executed as native iOS application functionality and cannot add to, replace, extend, or modify RepoGo's native features. RepoGo for iOS does not provide access to Simulator sessions or distribute installable native application builds.
3. Eligibility and Age Requirement
3.1 Minimum Age
You must be at least 13 years of age to create an account or use the Service. By using the Service, you represent and warrant that you are 13 years of age or older. If you are under 13, you are not permitted to use the Service, create an account, or submit any personal information to RepoGo. If we discover or have reason to believe that a User is under 13, we will terminate the account and delete associated personal information in accordance with applicable law, including the Children's Online Privacy Protection Act ("COPPA").
3.2 Minors Between 13 and the Age of Majority
If you are between the age of 13 and the age of legal majority in your jurisdiction (typically 18), you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
3.3 EEA / UK Users
If you reside in the European Economic Area, United Kingdom, or another jurisdiction with a higher digital-consent age, you must meet the minimum age of digital consent in your jurisdiction (typically 16) or obtain the appropriate parental/guardian consent.
4. User Accounts
4.1 Registration
To use certain features of the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Maintain the security of your account credentials and any API keys or tokens associated with your account
- Accept responsibility for all activities that occur under your account, whether or not authorized by you
4.2 Account Security
You are solely responsible for safeguarding your account and any credentials, access tokens, OAuth authorizations, or API keys associated with it. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
4.3 Account Termination
You may delete your account from the RepoGo application by selecting Avatar > Delete Account. Account deletion is permanent and is governed by Section 18.2.
We reserve the right, in our sole discretion, to suspend, disable, or terminate your account, with or without notice, if:
- You violate these Terms of Service or any applicable policy
- You engage in fraudulent, abusive, or illegal activities
- Your account is inactive for an extended period
- Continued provision of the Service to you is commercially impracticable
- We are required to do so by law, regulation, or legal process
5. Acceptable Use
5.1 General Rules
You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You shall not:
- Violate any applicable laws, regulations, or third-party rights
- Infringe upon intellectual property, privacy, publicity, or other rights
- Upload, transmit, or execute malicious code, viruses, worms, ransomware, or other harmful components
- Attempt to gain unauthorized access to our systems, networks, other Users' accounts, or any connected third-party services
- Use the Service to mine, scrape, or harvest data in violation of applicable terms
- Use the Service to spam, harass, defame, or harm others
- Use the Service to build, train, or derive models that compete with RepoGo
- Engage in any activity that interferes with, disrupts, or places unreasonable load on the Service
- Circumvent any usage limits, access controls, or security measures
5.2 Sandbox and Compute Use
Sandbox environments provided through the Service are intended for development, testing, and experimentation. You shall not use sandboxes to:
- Run production workloads, mission-critical services, or services requiring guaranteed availability
- Mine cryptocurrency or perform other unauthorized high-intensity compute operations
- Host illegal content or services
- Perform network attacks, port scanning, brute-force attacks, or other prohibited network activity
- Violate the acceptable use policies of the underlying sandbox or infrastructure provider
5.3 Restricted Data and Compliance-Sensitive Use
Unless RepoGo expressly agrees otherwise in a separate written agreement, you must not use the Service to store, process, or transmit information that would subject RepoGo to industry-specific, government, or contractual compliance obligations beyond those expressly stated for the Service, including regulated health data, full payment-card data, government-classified information, export-controlled technical data, or similar restricted information. You are solely responsible for determining whether the Service is appropriate for your intended data and compliance obligations.
6. Your Content
6.1 Ownership
You retain all right, title, and interest in and to any code, files, configurations, data, environment variables, prompts, and other content that you upload, create, submit, or otherwise transmit through the Service ("Your Content"). RepoGo does not claim ownership of Your Content.
6.2 License to RepoGo
You grant RepoGo a worldwide, non-exclusive, royalty-free license to host, store, cache, copy, transmit, process, display, and transform Your Content solely to the extent reasonably necessary to:
- Provide, maintain, and operate the Service
- Synchronize files between your devices, your source control provider, and sandbox environments
- Forward Your Content to third-party services at your direction (for example, AI providers and sandbox providers)
- Perform backups, disaster recovery, and security operations
- Enforce these Terms and comply with legal obligations
This license terminates when Your Content is deleted from our systems, subject to reasonable backup retention and any legal holds.
6.3 Your Responsibility for Content
You represent and warrant that (a) you have all rights necessary to submit Your Content to the Service, (b) Your Content does not violate any law or third-party right, and (c) you have obtained all consents required to submit Your Content, including personal data of third parties, to RepoGo and to any third-party service integrated through the Service.
6.4 Local Device Copies and Offline Access
The Service may cache, mirror, or download Your Content to your phones, computers, local databases, widgets, previews, logs, and other device storage to enable offline access, synchronization, and recovery. Once Your Content is stored on a device or local backup outside RepoGo's servers, its security depends in part on that device, operating system, backup provider, and your own administrative controls. You are solely responsible for securing devices, local backups, passcodes, disk encryption, MDM controls, and any local exports or screenshots.
6.5 Retention Limits, TTL, and Automatic Deletion
RepoGo is not a system of record. Data that flows through the Service — including chat conversations and messages, agent transcripts, tool-call output, terminal and log output, previews, thumbnails, temporary blobs, uploads, caches, sandbox filesystem state, and other transient artifacts — is stored to operate the Service, not to serve as an archive, a book of record, or a backup of your work.
Accordingly, we may apply retention limits and automatic time-to-live ("TTL") and cleanup policies to any data stored in the Service, and may delete data automatically and without notice based on factors including:
- Age — data older than a retention window we set from time to time
- Volume — the number of chats, messages, turns, projects, or artifacts retained per user, per project, or per account, with the oldest pruned first
- Size — total storage consumed by an account, project, or artifact type
- Plan tier — different retention windows and limits may apply to free, trial, beta, and paid plans
- Inactivity — data associated with dormant accounts, projects, devices, or sandboxes
- Operational necessity — cost, capacity, reliability, abuse mitigation, or provider-side changes
These policies exist to keep the Service affordable and reliable. Retention windows and limits are not a guaranteed feature of any plan, are subject to change under Section 11.7 and Section 19, and may be shortened, lengthened, or applied differently to different data types.
What we currently expect to do. We have no plan to routinely delete your recent chat history, and we are not trying to take your working conversations away from you. What we do anticipate is a cleanup pass over chat conversations older than approximately six (6) months, which a background service may remove on an ongoing basis. This is not implemented as of the Last Updated date above — it is stated here so that you can expect it, plan around it, and are not surprised when it begins. We may implement it, change the six-month figure, or apply different windows to different plan tiers or data types, at any time and without further notice, subject to any notice we are required to give by law.
This is a description of what we currently intend, not a commitment to retain any conversation for any minimum period. The six-month figure is a ceiling on what we expect to keep, not a floor you can rely on: a chat younger than six months may still be removed under any of the factors listed above — including volume, size, plan tier, inactivity, and operational necessity. Nothing in these two paragraphs limits the broader rights described in this Section 6.5.
Your sources of truth are elsewhere. You acknowledge and agree that:
- Your source-control provider — GitHub — is the authoritative record of your code. Commit and push your work; anything not committed may be lost when a sandbox, device cache, or project record is reclaimed
- Your conversations with third-party CLI coding agents persist on disk in the working environment where that agent runs, under that agent provider's own session storage, and can generally be resumed using that provider's own tooling (for example, its resume or continue command) even after the corresponding conversation has been deleted from RepoGo. Those on-disk sessions are governed by the agent provider's terms and retention behavior, not ours
- You are solely responsible for exporting, committing, or otherwise preserving anything you want to keep before it ages out
- RepoGo has no obligation to store, retain, restore, or produce deleted data, and is not liable for any loss of chat history, transcripts, output, or other transient data resulting from these policies, to the fullest extent permitted by law and in addition to Section 16
Deletion under this Section is ordinary operation of the Service, not a termination of your account, and does not entitle you to a refund or credit.
7. GitHub Integration
7.1 Connecting Your GitHub Account
The Service allows you to connect your GitHub account in order to browse, download, clone, synchronize, and edit GitHub repositories from your mobile device and other connected devices.
By connecting your GitHub account, you:
- Authorize RepoGo to access repositories and metadata according to the OAuth scopes you grant
- Authorize RepoGo to download repository contents to your device and to RepoGo's servers as reasonably necessary to facilitate mobile access and synchronization
- Acknowledge that you remain responsible for managing your GitHub permissions and for complying with GitHub's terms of service
- Acknowledge that you may revoke RepoGo's access at any time through your GitHub account settings, and that such revocation may disable portions of the Service
7.2 GitHub Terms
Your use of GitHub through the Service remains subject to GitHub's own Terms of Service and policies. RepoGo is not affiliated with, endorsed by, or responsible for GitHub.
7.3 Push, Commit, and Sync Mechanisms — No Liability for Production Impact
The Service may be used to commit, push, merge, rebase, force-push, pull-request, or otherwise write changes to GitHub repositories and other source-control destinations. You acknowledge that these operations may directly or indirectly affect branches (including main, master, release, or deployment branches) that feed into continuous-integration pipelines, automated deployments, and production environments.
You agree that:
- You are solely responsible for configuring appropriate branch protection, code review, CI checks, staging environments, and deployment approvals on your source-control provider
- You are solely responsible for verifying any changes — whether authored by you, generated by AI, or suggested by a CLI agent — before they are pushed or merged to any branch connected to production
- Mobile, intermittent-connectivity, background-sync, conflict-resolution, and AI-assisted workflows can produce unexpected diffs; you must review them accordingly
To the fullest extent permitted by law, RepoGo is not liable for any errors, outages, regressions, data loss, security incidents, financial harm, or other damages arising from commits, pushes, merges, or other write operations performed through the Service, including any such changes that reach production. This disclaimer applies regardless of whether the underlying changes were authored by you, generated by an AI agent, executed inside a sandbox, or produced by automated synchronization, and is in addition to the limitations of liability in Section 16.
8. Third-Party CLI Agents and AI Tools
8.1 Available Agents
The Service enables Users to invoke third-party CLI coding agents and AI tools on paired computers and in cloud development environments, including but not limited to:
- Anthropic Claude Code
- Cursor CLI / Cursor Agent
- OpenAI Codex CLI
- GitHub Copilot and related agent features
- Other third-party AI coding agents that may be added, removed, or modified from time to time
8.2 Governed by Third-Party Terms
Your use of any such third-party CLI agent or AI tool is governed by the terms, policies, acceptable-use policies, privacy policies, and license agreements of that third-party provider. By invoking a third-party CLI agent through the Service, you represent that you have read, understood, and agreed to those third-party terms. RepoGo:
- Does not control the output, accuracy, reliability, availability, pricing, or security of third-party agents
- Does not warrant that any third-party agent will remain available or function as described
- Is not a party to your agreement with any third-party provider and has no liability for their acts, omissions, or terms
- May pass credentials, prompts, file contents, environment variables, or other inputs you provide to the third-party agent on your behalf
8.3 Credentials and API Keys
If you supply API keys, access tokens, or other credentials to invoke third-party agents, you authorize RepoGo to store, transmit, and use those credentials solely to enable the requested functionality. You are responsible for the security, cost, and usage associated with any credentials you provide, including any fees charged by the third-party provider.
8.4 AI Output and User Verification Obligation
AI models make mistakes. AI-generated output (including code, text, suggestions, diffs, shell commands, and configuration) may be inaccurate, incomplete, insecure, hallucinated, non-functional, or otherwise inappropriate, and may introduce bugs, vulnerabilities, data loss, or service outages if deployed without review.
You acknowledge and agree that:
- It is your responsibility to verify, review, and test all code and output produced by or through AI agents before relying on, executing, merging, or deploying it
- Verification should use appropriate independent systems and tools, including local builds, unit and integration tests, staging environments, code review, linters, security scanners, and any other quality-assurance process appropriate to your use case. RepoGo may provide access to some of these tools, but you remain responsible for evaluating the results
- RepoGo is a development and transport tool; it is not a substitute for independent testing, code review, or human judgment
- The Service may execute AI-suggested commands in connected environments, and you accept all risks associated with doing so
8.5 No Liability for AI Errors
RepoGo is not liable for any errors, defects, vulnerabilities, losses, or damages arising from AI-generated output, from your reliance on AI-generated output, or from the execution of AI-suggested commands, regardless of whether such output reaches development, staging, production, or any other environment. This disclaimer applies to the fullest extent permitted by law and is in addition to the limitations of liability in Section 16.
8.6 No Guarantee of Agent or Model Availability
The specific coding agents, AI tools, and models offered through the Service are not a guaranteed or permanent part of it, on any plan. We may, at any time and in our sole discretion, add, suspend, restrict, or permanently discontinue any coding agent, AI tool, model, model version, or agent capability, including any that you currently use, that was available when you subscribed, or that is named anywhere in these Terms, our documentation, our marketing, or the Service itself. We may also change which agents, models, or capabilities are available on a given plan, in a given region, or on a given platform, and may impose new limits on their use.
You acknowledge that agent and model availability depends on independent third parties. A provider may deprecate, restrict, reprice, rate-limit, change the license or acceptable-use terms of, or entirely withdraw its agent, tool, or model at any time and without notice to us, and we may be required to pass that change through immediately. Availability may also end because a provider's terms prohibit our integration, because an integration becomes technically or commercially impracticable, or because we choose to stop supporting it.
Where reasonably practicable we will give notice of the discontinuation of an agent or model that is materially relied upon by a paid plan, and Section 11.7 governs your remedy for such a change. Except as required by applicable law, the discontinuation, restriction, or unavailability of any agent, tool, model, or capability does not entitle you to a refund, credit, extension, or substitute, and RepoGo is not liable for any resulting loss, interruption, or cost, including work in progress, unfinished agent sessions, or reliance on a specific agent or model. Nothing in these Terms obligates RepoGo to offer, restore, or continue offering any particular agent or model.
9. Sandbox and Infrastructure Providers
9.1 Integrated Providers
RepoGo integrates with, orchestrates, and provisions cloud-development and infrastructure resources on behalf of Users through third-party providers, including but not limited to:
- Vercel (including Vercel Sandbox and related products)
- Hetzner (including dedicated cloud-development hosts)
- Other cloud, container, networking, storage, or infrastructure providers disclosed in our Privacy Policy or when you use the applicable feature
9.2 Governed by Provider Terms
Your use of any sandbox, compute, storage, database, or other resource provisioned through a third-party provider is governed by the terms of service, acceptable use policies, privacy policies, and service level agreements of that provider. You are responsible for:
- Reviewing and complying with the terms of each provider whose resources you use
- Any fees, overages, rate limits, or other charges imposed by such providers if you are using your own account or billing credentials
- Complying with any data-residency, export-control, or regulated-industry requirements applicable to your use
9.3 No Warranty of Provider Performance
RepoGo does not guarantee the uptime, performance, durability, or security of third-party provider infrastructure. Service interruptions, data loss, or quota exhaustion caused by third-party providers are outside RepoGo's control, and RepoGo disclaims liability for any resulting harm to the maximum extent permitted by law.
10. Environment Variables and Sensitive Data Handling
10.1 How .env Files Are Used
RepoGo allows you to attach environment files (such as .env files) and other configuration values to your projects. When you add an environment file to RepoGo, and your sandbox starts, that environment file and its contents are transmitted from RepoGo to the applicable sandbox provider so that the variables are available to processes running inside the sandbox.
10.2 Your Responsibilities
You acknowledge and agree that:
- Environment files often contain sensitive information, including API keys, database credentials, cryptographic secrets, and personal data
- By adding an environment file to RepoGo, you authorize RepoGo to transmit, store, and inject those values into sandbox environments on your behalf
- You are solely responsible for the contents of your environment files, the scope of privileges associated with the credentials they contain, and any consequences of their exposure
- You should not submit environment values that you do not have the right to transmit to third-party sandbox providers, or that are prohibited from being transmitted under applicable law, contract, or data-classification policy
10.3 Security Measures
RepoGo takes commercially reasonable measures to protect environment files in transit and at rest. However, once transmitted to a third-party sandbox provider, the environment file is subject to that provider's security controls, retention practices, and terms. RepoGo is not responsible for the handling of environment data by third-party providers after transmission.
10.4 Revocation
You may remove environment files from RepoGo at any time. Doing so will prevent future sandbox launches from receiving those values, but will not recall values that have already been transmitted to a provider or written to a running sandbox. You are responsible for rotating credentials you believe may have been exposed.
11. Subscription, Billing, and Third-Party Charges
11.1 RepoGo Pro
RepoGo Pro is an automatically renewing monthly subscription. In the United States storefront, its current price is USD $9.00 per month. The price displayed by Apple at the time of purchase controls and may vary by country, currency, taxes, or future pricing changes.
Eligible new subscribers may receive a seven-day introductory free trial through Apple. Eligibility is determined by Apple. Payment is charged to your Apple Account when you confirm the purchase or, for an eligible introductory trial, when the trial ends. RepoGo Pro renews automatically unless you cancel at least 24 hours before the end of the current subscription period. Apple may charge the renewal within 24 hours before that period ends.
You can manage or cancel RepoGo Pro in your Apple Account settings under Subscriptions. Canceling during an introductory trial prevents the subscription from renewing into a paid period, subject to Apple's rules.
11.2 Third-Party Usage Fees
Certain features use third-party AI or infrastructure accounts that you connect to RepoGo. When you supply your own credentials, your separate agreement with that provider governs its charges, limits, and refunds. RepoGo does not process those third-party charges. Any digital feature, subscription, or metered usage sold by RepoGo through the iOS application is offered through Apple's In-App Purchase system.
11.3 Free Tier
RepoGo may provide complimentary access before a subscription is required, as well as free-tier usage after a subscription ends. Complimentary and free-tier access is provided "as is," is not an Apple subscription trial, and is subject to limits that may change at any time. We reserve the right to throttle, suspend, or discontinue that access at our discretion.
11.4 Cancellation
You may cancel your subscription at any time through the platform that processed the purchase. Unless the platform's rules state otherwise, you retain access until the end of your current paid subscription period, after which your account reverts to the available free tier. Certain features may become unavailable.
11.5 Taxes and Platform Billing
Unless otherwise expressly stated, fees exclude taxes, duties, levies, or similar governmental charges. You are responsible for any such amounts associated with your purchase or use of the Service, other than taxes based on RepoGo's net income. If you purchase through Apple's App Store, Apple processes the payment and Apple's billing, cancellation, and refund rules apply. Refund requests for App Store purchases must be submitted to Apple. Rules of another authorized billing platform apply to purchases made through that platform.
11.6 Payment Failures and Chargebacks
If any payment is declined, reversed, charged back, disputed, or otherwise not received, we may suspend or terminate access to paid features, revoke credits, usage entitlements, or other benefits associated with the unpaid amount, and recover reasonable collection costs to the extent permitted by law.
11.7 Changes to Plans, Features, Quotas, and Pricing
Subscription plans describe the features, quotas, models, agents, integrations, and compute made available at a point in time. They are not a guarantee that any particular feature will remain available, remain in a given plan tier, or remain available at a given price or usage allowance.
We reserve the right, at any time and in our sole discretion, to:
- Add, change, limit, suspend, or discontinue any feature, model, agent, integration, or capability included in any plan, including features you currently rely on
- Move a feature between plan tiers, or make a feature that was previously included available only on a higher tier, as a paid add-on, or on a usage-metered basis
- Introduce, change, or remove usage quotas, rate limits, concurrency limits, fair-use thresholds, storage limits, or compute allowances
- Introduce new plans, rename, restructure, consolidate, or retire existing plans
- Change subscription pricing, billing intervals, or usage-based rates
Many of these changes are driven by factors outside our control — third-party AI, sandbox, and infrastructure providers may change, deprecate, restrict, or reprice their offerings at any time, and we may be required to pass those changes through.
Notice and your remedy. For changes that materially reduce the features or quotas of a paid plan you are actively subscribed to, or that increase the price of your subscription, we will provide notice by email, in-app notification, or website announcement before the change takes effect for your subscription, and any price increase will apply from your next billing period. Your sole and exclusive remedy for any such change is to cancel your subscription under Section 11.4 before the change takes effect. Continued use of the Service after the change takes effect constitutes acceptance of it. Except where required by applicable law, no such change entitles you to a refund, credit, or compensation, and we are not liable for any loss arising from a feature, model, agent, or integration being changed, restricted, or discontinued.
Free-tier and beta, preview, or experimental features may be changed, limited, or discontinued at any time without notice (see Sections 11.3 and 19).
12. Sandbox Environments (RepoGo-Provided)
Where sandbox environments are provisioned by RepoGo (as opposed to under your own provider account), such environments:
- Are isolated and intended to be temporary
- Have resource, time, concurrency, and network limits
- Should not be used for production workloads
- May be reclaimed, reset, or terminated without notice
- Are subject to the underlying provider's terms
13. Intellectual Property
13.1 Our Property
The Service, including its software, design, interfaces, features, trademarks, logos, and documentation, is owned by RepoGo or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service solely as permitted by these Terms.
13.2 Your Property
You retain all rights to Your Content. You do not acquire any rights in RepoGo's intellectual property by using the Service.
13.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant RepoGo a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without obligation to you.
14. Third-Party Services Generally
The Service integrates with, links to, or depends upon numerous third-party services (including source control providers, AI providers, sandbox providers, analytics, payment processors, and push-notification services). Your use of any third-party service is subject to that provider's terms. RepoGo is not responsible for:
- The availability, accuracy, or content of third-party services
- Any changes to third-party APIs, terms, or pricing
- Damages arising from your use of third-party services
15. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Title
- Quiet enjoyment
- Accuracy of data
- Uninterrupted, timely, secure, or error-free operation
WITHOUT LIMITING THE FOREGOING, REPOGO SPECIFICALLY DISCLAIMS ANY WARRANTY REGARDING (A) THE BEHAVIOR OR OUTPUT OF THIRD-PARTY AI AGENTS AND CLI TOOLS, (B) THE PERFORMANCE OR AVAILABILITY OF THIRD-PARTY SANDBOX OR INFRASTRUCTURE PROVIDERS, AND (C) THE SECURITY OR CONFIDENTIALITY OF DATA HANDLED BY THOSE THIRD PARTIES.
Some jurisdictions do not allow the exclusion of implied warranties; to that extent, some of the above exclusions may not apply to you.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPOGO, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
- LOSS OF PROFITS, REVENUE, GOODWILL, DATA, CODE, OR USE
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA
- STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OR THROUGH THE SERVICE
- ACTS OR OMISSIONS OF THIRD-PARTY PROVIDERS (INCLUDING AI AGENTS AND SANDBOX/INFRASTRUCTURE PROVIDERS)
- EXPOSURE OR COMPROMISE OF ENVIRONMENT VARIABLES OR CREDENTIALS YOU SUBMIT TO THE SERVICE
- ERRORS, DEFECTS, VULNERABILITIES, OR OTHER HARM ARISING FROM AI-GENERATED OUTPUT OR AI-SUGGESTED COMMANDS
- COMMITS, PUSHES, MERGES, OR OTHER WRITE OPERATIONS TO GITHUB OR OTHER SOURCE-CONTROL PROVIDERS, INCLUDING CHANGES THAT REACH PRODUCTION
- ANY MATTER OUTSIDE REPOGO'S REASONABLE CONTROL
IN NO EVENT SHALL REPOGO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID REPOGO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY OR CAUSE OF ACTION, EVEN IF REPOGO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
17. Indemnification
You agree to defend, indemnify, and hold harmless RepoGo and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
- Your access to or use of the Service
- Your violation of these Terms
- Your violation of any third-party right, including intellectual property, privacy, or publicity rights
- Your violation of any third-party provider's terms (including GitHub, AI providers, and sandbox providers)
- Your submission of Your Content, environment files, or credentials to the Service
- Any activity conducted within a sandbox provisioned on your behalf
18. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Upon termination:
- Your right to use the Service immediately ceases
- We may delete Your Content, subject to our retention and backup policies
- Provisions that by their nature should survive (including Sections 6, 10, 13, 15, 16, 17, 19, 20, and 21) will survive
18.1 Refunds on Termination Without Cause
If we terminate or suspend your account without cause — meaning for a reason other than your violation of these Terms, fraudulent or abusive conduct, non-payment, or a requirement of law, regulation, or legal process — we will refund the unused, prepaid portion of your then-current subscription term, prorated from the date of termination. This is your sole and exclusive remedy for a termination without cause.
No refund is owed where we terminate or suspend your account for cause, where you cancel your own subscription under Section 11.4, or for any period already elapsed. Where you purchased through the Apple App Store or another third-party billing platform, refunds are processed by that platform under its rules and timelines, and Section 11.5 controls.
18.2 Account Deletion Is Permanent and Irreversible
When you delete your account, your data is permanently deleted from our servers and cannot be retrieved — not by you, and not by us. This includes your projects, chats and transcripts, uploads and attachments, environment files, stored credentials and integration tokens, device records, and account profile. There is no undo, no grace period, no recovery request, and no support process that can restore a deleted account. Export or commit anything you want to keep before you delete.
Three things this does not reach, because they are outside our servers or outside our control:
- Residual copies in backups and logs are purged on our ordinary cycle (generally within 90 days) and are not restored to your account or used to re-create it in the meantime
- Records we are legally required to keep — such as payment and tax records, and records subject to a legal hold or an open dispute — are retained for the period the law requires and for no other purpose
- Data already transmitted to third parties at your direction — including source-control providers, AI and gateway providers, and sandbox and infrastructure providers — is held under that provider's terms and retention practices. Deleting your RepoGo account does not delete it there, and we cannot recall it. Your code remains in your GitHub repositories, CLI-agent sessions remain on the disks where those agents ran, and credentials you transmitted should be rotated by you
Account deletion under this Section does not entitle you to a refund except as provided in Section 18.1, and does not waive amounts you already owe.
19. Changes to the Service and Terms
We reserve the right to modify, suspend, or discontinue any part of the Service — including any feature, model, agent, integration, plan, or offering, whether or not it is included in a paid subscription — at any time, with or without notice, except where Section 11.7 requires advance notice. We also reserve the right to modify these Terms. We will notify you of material changes via email, in-app notification, or website announcement. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
20. Governing Law, Jurisdiction, and Dispute Resolution
20.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which RepoGo is established, without regard to its conflict-of-law principles.
20.2 Informal Resolution
Before filing any formal claim, you agree to first attempt to resolve any dispute informally by contacting us at repogoapp@gmail.com. We will attempt to resolve the dispute in good faith within 60 days.
20.3 Binding Arbitration and Class-Action Waiver
To the extent permitted by applicable law, any dispute that cannot be resolved informally shall be resolved by binding individual arbitration, and not in a class, collective, or representative proceeding. You and RepoGo each waive the right to a trial by jury and the right to participate in a class action. This Section 20.3 does not apply where prohibited by law.
20.4 Equitable Relief
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.
21. Export Controls and Sanctions
You represent that you are not located in, and you are not a national or resident of, any country or region subject to comprehensive U.S. or other applicable sanctions, and that you are not on any restricted-parties list. You agree to comply with all applicable export-control and sanctions laws.
22. Severability
If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.
23. No Waiver
RepoGo's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
24. Assignment
You may not assign or transfer these Terms without our prior written consent. RepoGo may assign these Terms, in whole or in part, without restriction.
25. Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and RepoGo regarding the Service and supersede any prior agreements. Apple's Standard EULA separately governs the license to the RepoGo iOS application as described in Section 1.
